These Terms of Use ("Terms") govern your access to and use of sageideas.dev and any related services, pages, or content operated by Sage Ideas LLC, a Florida limited liability company ("Sage Ideas," "Studio," "we," "us," or "our"). By accessing or using the site, you agree to these Terms. If you don't agree, don't use the site.

For client engagements — software development, design, consulting, or other professional services — the governing documents are the applicable Master Services Agreement and Statement of Work, not these Terms.

1. Who May Use This Site

sageideas.dev is intended for business professionals, prospective clients, and others with a legitimate interest in Sage Ideas' services. You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use this site. By using it, you represent that you meet this requirement.

2. What You Can Do Here

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Browse and view content on sageideas.dev
• Submit contact and inquiry forms
• Schedule meetings through our booking integrations
• Share links to our public pages

3. What You May Not Do

You agree not to:

• Reproduce or repurpose our content without written permission. This includes copying case studies, writing samples, service descriptions, or design assets.
• Probe or attack the site. You may not conduct security testing, port scanning, or vulnerability assessments without our prior written authorization.
• Submit false or misleading information through forms or booking requests.
• Impersonate Sage Ideas, our team, or any other person or entity.
• Scrape or data-mine the site using automated tools, bots, or crawlers, except with our express written consent or via an officially supported API.
• Introduce malware, viruses, or malicious code of any kind.
• Interfere with site infrastructure, including attempting to overload servers, disrupt CDN behavior, or bypass access controls.
• Use the site for any unlawful purpose or in violation of applicable law.

4. Intellectual Property

4.1 Our Content

All content on sageideas.dev — including text, graphics, logos, case studies, code snippets, and site design — is owned by or licensed to Sage Ideas LLC and protected by US and international copyright, trademark, and trade secret laws. All rights not expressly granted are reserved.

"Sage Ideas" and the Sage Ideas logo are proprietary marks of Sage Ideas LLC. Nothing in these Terms grants you any right to use our name, logo, or marks without prior written permission.

4.2 Feedback

If you send us ideas, suggestions, bug reports, or other feedback about sageideas.dev or our services, you grant Sage Ideas a perpetual, royalty-free, worldwide license to use that feedback without compensation or restriction. We appreciate feedback, but we're not obligated to keep it confidential unless we've signed an NDA with you.

4.3 Your Submissions

When you submit content through contact forms or other inputs, you represent that you have the right to share it and that it doesn't infringe any third party's rights. You grant us a limited license to use your submission for the purpose for which it was submitted (e.g., responding to an inquiry, scheduling a meeting).

5. Third-Party Links and Integrations

sageideas.dev may link to or integrate with third-party services, including Cal.com (scheduling), Stripe (payments), and others. We don't control those services and are not responsible for their content, policies, or availability. Use of third-party services is governed by their own terms and privacy policies.

6. Disclaimers

The site is provided "as is" and "as available." To the fullest extent permitted by applicable law, Sage Ideas disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that:

• The site will be error-free or uninterrupted
• Content is always current, accurate, or complete
• Defects will be corrected
• The site or its servers are free of viruses or harmful components

Nothing on sageideas.dev constitutes legal, financial, or professional advice. Case studies, articles, and portfolio content describe past work and general approaches — they are not representations or guarantees of future results.

7. Limitation of Liability

To the fullest extent permitted by applicable law:

Sage Ideas LLC and its members, employees, contractors, and agents will not be liable to you for any indirect, incidental, consequential, punitive, or special damages arising out of or related to your use of sageideas.dev, including but not limited to lost profits, lost data, or business interruption — even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising from your use of this site (not under a separate service agreement) is limited to $100 USD.

Some jurisdictions do not allow exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Sage Ideas LLC and its members, officers, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of sageideas.dev; (b) your violation of these Terms; or (c) your infringement of any third party's intellectual property or other rights.

9. Privacy

Your use of sageideas.dev is also subject to our Privacy Policy and Cookie Policy, which are incorporated into these Terms by this reference.

10. Modifications to the Site and Terms

We reserve the right to:

• Modify or discontinue sageideas.dev (or any part of it) at any time without notice.
• Update these Terms at any time. When we do, we'll update the "Effective Date" at the top. Your continued use after an update means you accept the revised Terms.

If you don't like a change, the right move is to stop using the site — and optionally drop us a note at sage@sageideas.dev.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or your use of sageideas.dev will be resolved exclusively in the state or federal courts located in Orange County, Florida. You consent to personal jurisdiction in those courts.

Before initiating any formal legal proceeding, you agree to contact us in good faith at sage@sageideas.dev to attempt informal resolution. This does not apply to claims for injunctive or equitable relief, which either party may seek at any time.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining Terms will continue in full force and effect.

13. No Waiver

Our failure to enforce any right or provision of these Terms at any time does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Sage Ideas LLC to be effective.

14. Entire Agreement

These Terms (together with the Privacy Policy and Cookie Policy) constitute the entire agreement between you and Sage Ideas LLC regarding your use of sageideas.dev. If you engage us for services, that engagement is governed by a separate Master Services Agreement and Statement of Work, which will control in the event of any conflict with these Terms.
